1. Definitions and Interpretation
1.1 Definitions
In these Terms and Conditions, unless the context indicates otherwise, the following words will have the following meanings:
“AI” means Artificial Intelligence.
“AI Accelerator Packages” means the specialised services offered by Intelligence Assist to fast-track specific aspects of AI adoption, including AI Adoption Accelerator, Process Optimisation Accelerator, AI-Powered Automations & AI Agent Accelerator, Data Readiness Accelerator, AI Capability Building Accelerator, and Governance Catalyst Accelerator.
“AI Launch Audit and Blueprint” means the comprehensive assessment and planning service offered by Intelligence Assist to kickstart a Client’s AI journey.
“AI Optimisation as a Service” or “AIOaaS” means the subscription-based ongoing AI strategy and implementation support service offered by Intelligence Assist.
“Client” means the users who are given the opportunity to purchase the Services.
“Confidential Information” includes any information marked as confidential and any information received or developed by Intelligence Assist during the term of this Agreement, which is not publicly available and relates to processes, equipment, and techniques used by the Client in the course of the Client’s business.
“Fees” means the fees set out in the Specification or as agreed between the parties for the provision of Services.
“Intelligence Assist” means Intelligence Assist Pty Ltd (ACN 675 221 459) of Unit 6, 78 New Beach Road, Darling Point, New South Wales, 2027.
“Intellectual Property” includes trademarks, patents, copyrights, processes know-how, registered designs or other like rights or any right to apply for registration of any of the former.
“Member” means a registered user of the Intelligence Assist Services.
“Member Account” means the account created by a Client to access the Services.
Reasonable Use means use of the Services that Intelligence Assist deems as reasonable within our sole discretion and judgment.
Services means the services provided by Intelligence Assist, including but not limited to AI Launch Audit and Blueprint, AI Optimisation as a Service (AIOaaS), and AI Accelerator Packages.
Specification means the specific Services to be provided by Intelligence Assist under this Agreement.
Subscription Member means a Client who has purchased a subscription plan.
Subscription Period refers to the time that the Service is provided on a subscription basis.
Terms refers to these Terms and Conditions.
Website means the website https://intelligenceassist.com.au or any other website owned or operated by Intelligence Assist.
1.2. Interpretation
In these Terms and Conditions, unless the context indicates otherwise:
(a) Words importing any gender include every gender.
(b) Words importing the singular number include the plural number and vice versa.
(c) Words importing persons include firms, companies, and corporations and vice versa.
(d) References to numbered clauses and schedules are references to the relevant clause in or schedule to these Terms and Conditions.
(e) Headings in these Terms and Conditions are for convenience only and shall not affect the interpretation of these Terms and Conditions.
(f) Any obligation on any party not to do or omit to do anything is to include an obligation not to allow that thing to be done or omitted to be done.
(g) Any reference to an enactment includes reference to that enactment as amended or replaced from time to time and to any subordinate legislation or bylaw made under that enactment.
(h) Where the word ‘including’ is used, it shall be understood as meaning ‘including without limitation’.
2. About the Services
2.1. The Services provided by Intelligence Assist are designed to help businesses harness the power of Artificial Intelligence (AI) responsibly and effectively. Our platform offers a range of AI-related services, which includes, but is not limited to:
(a) AI Launch Audit and Blueprint: A comprehensive assessment and planning service to kickstart your AI journey;
(b) AI Optimisation as a Service (AIOaaS): Subscription-based ongoing AI strategy and implementation support;
(c) AI Accelerator Packages: Targeted services to fast-track specific aspects of AI adoption.
2.2. The Services are provided and operated by Intelligence Assist Pty Ltd (ACN 675 221 459). Access to and use of the Services, or any of its associated products, are provided by Intelligence Assist. Use of any third-party products or services through our platform is subject to these Terms and any third-party terms referenced herein or brought to your attention during your use of the Services.
2.3. Please read these Terms carefully. By using, browsing, or accessing the Services, registering as a Member, making payments, and/or clicking “I agree,” you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to the Terms or the Privacy Policy, you must cease usage of the Services and any associated products immediately.
2.4. In consideration of the Client paying the Fees, Intelligence Assist agrees to provide the Services to the Client in accordance with these Terms.
2.5. Intelligence Assist reserves the right to review and change any of these Terms by updating this page at its sole discretion. When Intelligence Assist updates the Terms, it will use reasonable endeavors to provide you with notice of updates to the Terms. Any changes to the Terms take effect immediately from the date of their publication. Before you continue, we recommend you keep a copy of the Terms for your records.
3. Membership
3.1. To access the Services, Clients are required to register for an account via the Subscriber Portal, accessible through our public website or via a link provided by Intelligence Assist.
3.2. Upon subscribing, Intelligence Assist will add the Client’s email domain to the system, enabling account creation and access through Atlassian’s Jira Service Management.
3.3. For initial login, Clients must provide their name, email address, and create a password. While Intelligence Assist will have access to the Client’s name and email address, passwords remain confidential and are not accessible by Intelligence Assist.
3.4. Once the registration process is complete, Clients will be considered registered Members of Intelligence Assist and agree to be bound by these Terms.
3.5. Members must ensure that all information provided during the registration and account setup process is accurate, correct, and up to date. Any changes to registration details must be promptly updated in the Subscriber Portal.
3.6. By using, browsing, or accessing the Services, registering as a Member, making payments, and/or clicking “I agree,” Clients signify that they have read, understood, and agree to be bound by these Terms and our Privacy Policy. If Clients do not agree with the Terms or the Privacy Policy, they must cease usage of the Services and any associated products immediately.
3.7. Membership Eligibility:
(a) Clients must be of legal age to form a binding contract with Intelligence Assist.
(b) Clients must not be barred from using the Services under the laws of Australia or any other applicable jurisdiction.
3.8. You understand that by supplying Intelligence Assist with your contact details, you may receive regular emails, newsletters, telephone calls, or SMS updates from Intelligence Assist to keep you informed about Intelligence Assist activities and AI-related information. If you do not wish to receive updates from Intelligence Assist, you may contact Intelligence Assist at support@intelligenceassist.com.au.
3.9. By registering for a Member Account or using the Services, you represent and warrant to Intelligence Assist that:
(a) You have reached the legal age in your jurisdiction;
(b) You have the right, authority, and capacity to agree to and abide by these Terms;
(c) If you are registering with Intelligence Assist or purchasing the Services on behalf of a business, that business is taken to have accepted these Terms and you are taken to have been duly authorized to bind the business; and
(d) You will use the Services in a manner consistent with any and all applicable laws, regulations, and all other Intelligence Assist policies.
4. Obligations of Member
4.1. As a Member, you agree to comply with the following:
(a) Not to share your Member Account with any other person, except where you are registering on behalf of a business, in which case you may share the Member Account with the employees or other registered owners of the business for the AI needs of that business;
(b) Use the Services only for purposes that are permitted by these Terms and any applicable law, regulation, or generally accepted practices or guidelines in the relevant jurisdictions;
(c) Maintain the confidentiality of your Member Account and all the activities under your account;
(d) Notify Intelligence Assist immediately following any unauthorised use of your Member Account or any other breach of security;
(e) Not expressly or impliedly impersonate another Member or use the Member Account or password of another Member at any time;
(f) Not use the Services or Member Account for any illegal and/or unauthorised use;
(g) You acknowledge and agree that any automated use of the Services is prohibited.
5. Subscription Services
5.1. Purchase Methods
(a) Online Subscription Setup (Future Method): Clients will be able to purchase subscription services via the Intelligence Assist website once available. The website will display different types of subscription plans, which Clients can select and purchase directly online.
(b) Interim Manual Setup: Until the online subscription setup is available, Clients may subscribe to services by accepting a quote and making payments through invoices sent via Xero. Intelligence Assist will provide a quote for the desired subscription plan, and upon acceptance, an invoice will be issued for payment.
5.2. Subscription Member
Upon selecting a plan and making the payment, either through the future online method or the interim manual process, the Client will become a Subscription Member.
5.3. Subscription Tiers
Intelligence Assist offers three main subscription tiers: Basic, Standard, and Premium. The specific benefits and services included in each tier are detailed in the plan descriptions provided on our website.
5.4. Reasonable Use
Intelligence Assist services are subject to Reasonable Use to prevent exploitation, fraud, and abuse of our plans and features. Our Services are subject to reasonable use, which under this Agreement is use that Intelligence Assist deems as reasonable within our sole discretion and judgement.
5.5. Restrictions on Use
The Client may not transfer or assign its subscription or the benefits associated with the Subscription to any other person or business.
5.6. Intelligence Assist’s Rights
Intelligence Assist may, in its sole discretion, accept or refuse to provide its products and/or services to you at any time and for any reason. Intelligence Assist reserves the right to change the benefits provided in the Subscription and to limit the use of the subscription services, at any time, in its sole discretion, with or without notice.
6. Consultancy Services
6.1. AI Launch Audit and Blueprint
Intelligence Assist offers an AI Launch Audit and Blueprint service to kickstart your AI journey. This service includes:
(a) Virtual workshop with an Intelligence Assist AI expert
(b) Detailed audit report covering your operations
(c) AI Blueprint mapping your current digital tools and identifying AI opportunities
6.2. AI Accelerator Packages
Intelligence Assist offers the following AI Accelerator Packages, designed to fast-track specific aspects of your AI adoption:
(a) AI Adoption Accelerator: We identify, implement, and integrate specific AI tools or technologies tailored to your needs, unlocking new capabilities and driving innovation in your business.
(b) Process Optimisation Accelerator: We analyse your existing workflows and strategically integrate AI to enhance efficiency, reduce costs, and improve output quality across your business processes.
(c) AI-Powered Automations & AI Agent Accelerator: We implement robust, scalable solutions that transform your business operations, from process automation to autonomous AI agents.
(d) Data Readiness Accelerator: We assess your data ecosystem, ensuring your data is clean, accessible, and governance-compliant – setting the stage for successful AI adoption.
(e) AI Capability Building Accelerator: We provide tailored training and workshops to build your organisation’s AI capabilities from the ground up.
(f) Governance Catalyst Accelerator: We help you build a robust framework for responsible AI use, mitigating risks while empowering your team to leverage AI effectively.
6.3. Pricing and Quotes
(a) Pricing for the AI Launch Audit & Blueprint and AI Accelerator Packages is subject to change and is based on the specific requirements and scope of work for each client.
(b) Both subscribers to our AI Optimisation as a Service (AIOaaS) and non-subscribers can request quotes for any of the AI Accelerator Packages.
(c) To request a quote:
i. Subscribers can contact their dedicated AI expert or use the quote request feature in the Subscriber Portal.
ii. Non-subscribers can submit a quote request through our website or by contacting our sales team.
(d) Quotes will be provided based on the complexity and scope of the project and may include discounts for AIOaaS subscribers or for bundling multiple Accelerator Packages.
(e) All quotes will clearly outline what is included in the service, any prerequisites, and any additional costs (such as third-party tool subscriptions) that may be required.
(f) Quotes issued by Intelligence Assist will remain valid for 30 days from the date of issuance, after which they may be subject to re-evaluation or adjustment based on changes in scope or market conditions.
6.4. Service Delivery
(g) These services can be delivered as standalone offerings or as add-ons to your AIOaaS subscription.
(h) The specific scope, deliverables, and timeline for each service will be agreed upon before commencement.
(i) Intelligence Assist reserves the right to adjust the scope or pricing of these services based on the complexity of the client’s needs or changes in market conditions.
6.5. Client Responsibilities
(j) The Client agrees to provide necessary information, access, and cooperation required for Intelligence Assist to deliver these services effectively.
(k) The Client is responsible for implementing recommendations and maintaining any systems or processes established through these services, unless otherwise agreed.
6.6. Limitations
(a) While Intelligence Assist strives to provide high-quality services, we do not guarantee specific business outcomes from the use of these services.
(b) The Client acknowledges that successful AI adoption and optimisation depend on various factors, including but not limited to the Client’s implementation of recommendations, market conditions, and technological changes.
7. Payment
7.1. Payment for Subscription Services
(a) By agreeing to a Subscription Plan, a Client agrees to pay the subscription fee for the entire Subscription Period.
(b) The Client will be charged in accordance with the Billing terms in effect at the time of the Client’s initial purchase.
(c) Intelligence Assist reserves the right to change its fees for any Subscription Plan effective the first day of a Subscription Period by giving the Client notice of the new fees at least thirty (30) days before the beginning of the Subscription Period.
7.2. Payment for Consultancy Services
(a) Upon acceptance of a quote by the Client, Intelligence Assist will issue an invoice for 50% of the total fee for the Services. Payment must be made either within 14 days from the date of the invoice or the week prior to the commencement of the Services, whichever is later.
(b) The remaining 50% of the fee will be invoiced upon the completion of the Services, with payment due within 14 days from the date of the final invoice.
(c) The Services will commence following receipt of the initial payment and will be carried out according to the terms agreed upon in the quote and this Agreement.
7.3. Promotional Codes
(a) Intelligence Assist may, in its sole discretion, create promotional codes that may be redeemable for account credit or discounted services.
(b) Promotional codes may not be duplicated, sold, or transferred in any manner, or made available to anyone but its intended recipient.
8. Cancellation/Refund
(a) If a Client is unsatisfied with the Services the Client has purchased, the Client may notify Intelligence Assist within 30 days of the initial point of purchase, and Intelligence Assist will attempt to resolve the Client’s concerns.
(b) Please note that a refund is not guaranteed. Intelligence Assist, at its sole discretion, may or may not provide a refund of the fee to you.
9. Confidential Information
(a) Each party agrees to keep confidential all information obtained from the other party which is not publicly available and relates to the other party’s business, customers, or financial or other affairs.
(b) This obligation survives the termination of this agreement.
10. Website Content
(a) You may read and copy the information on Intelligence Assist’s website for your own needs, but you may not publish, resell, or sub-license it.
(b) Intelligence Assist makes no guarantees, representations, or warranties about the accuracy or legal correctness of any of the information on its website.
11. Copyright and Intellectual Property
(a) The Website, the Services, and all of the related products of Intelligence Assist are subject to copyright. The material on the Website is protected by copyright under the laws of Australia and through international treaties.
(b) Intelligence Assist retains all rights, title, and interest in and to the Website, Services, products, and all related content therein.
12. General Disclaimer
To the maximum extent permitted by law, Intelligence Assist excludes all representations, warranties, or guarantees, whether express or implied, by statute, trade, or otherwise; and Intelligence Assist will not be liable for any liabilities, claims, costs and expenses, damage or injury, or any special, direct, indirect, or consequential loss or damage.
13. Limitation of Liability
Intelligence Assist’s total liability arising out of or in connection with the Services or these Terms, however arising, including under contract, tort (including negligence), in equity, under statute, or otherwise, will not exceed the most recent fee paid by you to Intelligence Assist for the purchase of the Services under these Terms.
14. Indemnity
You agree to indemnify Intelligence Assist and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, liabilities, costs, and expenses which arise out of or relate to your use of the Website and/or Services.
15. Termination
Either party may terminate this Agreement by notice in writing to the other if the other party fails to observe any term of this Agreement and fails to rectify this breach within 7 days of written notice of the breach being given.
16. Dispute Resolution
If a dispute arises out of or relates to the Terms, neither party may commence any Tribunal or Court proceedings in relation to the dispute unless the following clauses have been complied with (except where urgent interlocutory relief is sought).
17. General
17.1. Force Majeure: Neither party is liable for any delay or failure to perform its obligations pursuant to these Terms if such delay is due to Force Majeure.
17.2. Amendments: Intelligence Assist may amend these Terms at any time by publishing the amended Terms on its website.
17.3. Assignment: A party must not assign or deal with any of its rights or obligations under these Terms without the prior written consent of the other party.
17.4. Entire Agreement: These Terms contain the entire agreement between the parties about its subject matter.
17.5. Waiver: No party to these Terms may rely on the words or conduct of any other party as a waiver of any right unless the waiver is in writing and signed by the party granting the waiver.
17.6. Agency, Partnership, etc.: These Terms do not create a relationship of agency, partnership, joint venture, or employment between the parties.
17.7. Further Assurance: Each party must promptly execute all documents and do all things that another party from time to time reasonably requests to effect, perfect, or complete these Terms and all transactions incidental to it.
17.8. Severance: Any provision of these Terms which is unenforceable or partly unenforceable is, where possible, to be severed to the extent necessary to make these Terms enforceable, unless this would materially change the intended effect of these Terms.
17.9. Announcements: A party must not make press or other announcements or releases relating to these Terms without the other party’s prior written approval.
17.10. Notices: A notice or other communication to a party under these Terms must be in writing and sent to the address, fax number, or email address of that party.
17.11. Law and Jurisdiction: These Terms are governed by the laws of New South Wales. Each party irrevocably submits to the non-exclusive jurisdiction of the courts of New South Wales.
